B2B DISTANCE SALES AGREEMENT

ARTICLE 1 - PARTIES

This agreement has been concluded between ZA TEKSTİL SANAYİ VE TİCARET A.Ş. (hereinafter referred to as the "SELLER") and the BUYER, who places a wholesale order via the www.bsl-wholesale.com website, under the following terms and conditions.

ARTICLE 2 - SUBJECT OF THE AGREEMENT

The subject of this agreement is to determine the rights and obligations of the parties in accordance with the provisions of the Turkish Commercial Code No. 6102 and the Turkish Code of Obligations No. 6098 regarding the wholesale sale and delivery of the products ordered by the BUYER electronically through the SELLER's website. Provisions of Consumer Protection Legislation shall not apply to this agreement.

ARTICLE 3 - ORDER, PAYMENT, AND DELIVERY

3.1. Orders created through the website become final after being approved by the SELLER.

3.2. Payments can be made via credit card, bank transfer, or international payment methods (Iyzico, etc.). Shipment of products will not commence until the total order amount has been collected.

3.3. Delivery is carried out through the cargo/logistics companies contracted by the SELLER (DHL, Cargo Net, etc.). Shipping costs and customs expenses for international purchases are the responsibility of the BUYER unless otherwise stated in writing.

ARTICLE 4 - RETURNS AND NOTICE OF DEFECTS

4.1. The BUYER is obliged to inspect the products upon delivery. Any visible damage or deficiencies must be documented with a formal report (cargo report) at the time of delivery.

4.2. The BUYER must notify the SELLER in writing of obvious defects within 3 (three) days from the delivery date and of hidden defects within 8 (eight) days. If these periods expire, the products are deemed to have been accepted without defects.

4.3. There is no right of withdrawal or return without justification, except for defective goods.

ARTICLE 5 - RESOLUTION OF DISPUTES

In any dispute that may arise from this agreement, the commercial books, records, and documents of the SELLER, as well as computer/system records, shall constitute conclusive evidence. Istanbul (Caglayan) Courts and Enforcement Offices are authorized to resolve disputes arising from the implementation of this agreement.
